What’s the difference between incorporating and registering a sole proprietorship?
Incorporating creates a separate legal entity with limited liability and access to corporate tax planning. A sole proprietorship is simpler and cheaper to register, but offers no liability separation between you and the business.
Do I need a NUANS® report to register my business?
Most incorporations require a NUANS® name search report to confirm your proposed name doesn’t conflict with existing businesses or trademarks. Some sole proprietorship and trade name registrations may only need a simpler name search depending on the province.
Can I register a business in Canada if I don’t live here?
Yes. Non-residents can incorporate or register a business in most Canadian provinces. Some jurisdictions have director residency requirements, which we’ll walk you through based on where you want to incorporate.
What happens if I miss my annual return filing?
Missing an annual return can eventually result in your corporation being struck off the registry. If that happens, you’ll need to file a revival application to restore it — filing on time avoids that cost and hassle.
How do I know whether to cancel or dissolve my business?
Cancelling applies to unincorporated registrations like a sole proprietorship, partnership or trade name. Dissolving applies specifically to a corporation, formally ending its legal existence with the registry.
How long does business registration take?
Most registrations are approved within 1-3 business days once your name search clears and documents are complete. Incorporations can sometimes be same-day depending on the province.
