What’s the difference between a corporate kit and a minute book?
A corporate kit is the physical binder — share certificates, corporate seal, registers and bylaws in one package. The minute book is the living record inside it (and its ongoing updates) that tracks resolutions, share changes and director appointments over your corporation’s life.
Do I need a WSIB/WCB account if I don’t have employees yet?
Requirements vary by province and industry — some sectors must register even with no employees, while others only need an account once they hire. We review your industry and province to confirm exactly which CRA and workplace safety accounts you’re required to open.
What’s the deadline for filing a corporate T2 tax return?
Corporations must file a T2 return within six months of their fiscal year-end, though any balance owing is due within two or three months depending on your corporation’s type. We track your fiscal year-end and file ahead of the deadline to avoid penalties.
Can a sole proprietor file taxes without incorporating first?
Yes — sole proprietors report business income directly on a personal T1 return using form T2125, without needing to incorporate. We prepare this filing and review your expenses for deductions many self-employed filers miss.
Why would my corporation need a price adjustment clause?
A price adjustment clause protects you if CRA later determines a related-party transaction wasn’t priced at fair market value, allowing the price to be automatically corrected rather than triggering a reassessment and penalty.
