Purpose-Built Corporate Structures
Corporations built for a specific purpose.
Not every business fits the standard incorporation mould. A shelf corporation gets you an instant, aged entity for a deal that can’t wait. An e-commerce company needs a structure built around online sales, payment processors and multi-province tax obligations. A co-operative needs member-owned governance a standard share structure can’t provide. We incorporate all three across Canada, matched to how the entity will actually be used.

Each structure is drafted to support future financing, additional shareholders or members, and extra-provincial expansion.
What each special corporation actually gets you.
Shelf Corporation
A shelf corporation (also called an aged corporation) is a company incorporated in advance and left inactive — never traded, borrowed against or contracted — until it’s purchased and transferred to a new owner. Buyers use shelf corporations to satisfy lender or supplier age requirements, respond to time-sensitive tenders, or simply skip the incorporation wait entirely. We handle the share transfer, director changes, minute book updates and registered office change so the corporation is fully yours, with a complete paper trail confirming it has no undisclosed liabilities.
E-Commerce Company
Selling online creates incorporation needs a standard filing doesn’t anticipate: GST/HST registration before your first sale, provincial sales tax accounts if you ship into Quebec, Saskatchewan, Manitoba or BC, and documentation your payment processor (Shopify Payments, Stripe, PayPal) will ask for to release funds. We incorporate your e-commerce company with these accounts set up alongside your articles of incorporation, so you’re not scrambling to register for taxes after your first order comes in.
Co-op Corporation In Canada
A co-operative corporation is owned and controlled by its members — one member, one vote — rather than by shareholders in proportion to capital invested. Canada’s co-operative acts (federal and provincial) govern housing co-ops, worker co-ops, consumer co-ops and agricultural co-ops differently from standard business corporations, with specific rules on membership, surplus distribution (patronage returns) and board election. We draft bylaws and articles matched to your co-op’s type and incorporate it federally or in your home province.
Special corporations, explained.
What is a shelf corporation and is it legal in Canada?
A shelf corporation is a company incorporated and left dormant, then sold to a buyer who wants an entity with an established incorporation date. It’s entirely legal in Canada — it’s simply a pre-made corporate shell with no trading history, transferred to you through a standard share purchase and director change.
Why would I buy a shelf corporation instead of incorporating new?
Common reasons include meeting a lender or supplier’s minimum company-age requirement, responding to a tender or RFP that requires an existing corporation, or simply wanting to start signing contracts today rather than waiting on incorporation processing.
Do I need a special business structure to sell online in Canada?
Not a different legal structure, but an e-commerce business does need specific tax registrations most new incorporations skip — GST/HST from your first sale, and provincial sales tax accounts if you ship into PST provinces. We set these up as part of incorporating your e-commerce company.
What makes a co-operative corporation different from a regular corporation?
Can a co-op corporation be incorporated federally or does it have to be provincial?
Both options exist. Canada’s Cooperatives Act allows federal incorporation for co-ops operating across provinces, while each province also has its own co-operative corporations act for co-ops operating locally. We’ll help you pick based on where your members and operations are based.
How quickly can I take ownership of a shelf corporation?
Once you confirm your choice, the share transfer, director resignation/appointment and registered office update are typically completed within 24 hours, along with an updated minute book reflecting the change in ownership.
Do e-commerce companies need to register in every province they ship to?
Not always for corporate registration, but you may need to register for provincial sales tax collection in provinces with their own PST system once your sales there cross that province’s threshold. We review your sales footprint and register the accounts you actually need.
